Regulation A, the public offering without the listing

Every offering filed under Regulation A since its 2015 expansion. Reg A lets a US or Canadian company sell securities to the general public without a full SEC registration: up to $20m a year under Tier 1, which state regulators also review, and up to $75m under Tier 2 ($50m before 15 March 2021), which needs audited accounts and annual reports. Each offering is counted once, by the year its Form 1-A was first filed, with its terms as last amended before qualification. Size is the total the company asked to sell, its own securities and any sold by existing holders. Three kinds of issuer are kept apart: operating companies; real estate, REITs, funds and lenders; and Masterworks, which files each painting it sells in shares as its own offering. Sold is the share of the qualified securities sold by the latest annual (1-K) or exit (1-Z) report; about three offerings in ten file one that says. Planned costs are the fees listed in the 1-A against the size: what a full sale would cost. We drop placeholder sizes under $10,000 and sizes above the tier's cap.

SEC Regulation A data sets, 2015 Q2 to 2026 Q3 (https://www.sec.gov/data-research/sec-markets-data/regulation-data-sets; quarterly files such as https://www.sec.gov/files/structureddata/data/regulation-data-sets/2025q4_rega.zip). Forms 1-A, 1-A/A, 1-K and 1-Z. Our calculations. Data to 30 September 2026.
