The Ledger / US private raises, by industry, place and size
US private raises, by industry, place and size
Every private offering by a US operating company that filed a Form D, $1m to $1bn. Volumes count raises begun in 2024 and 2025. Fill rates use raises begun from 2022 to 2024, so each has had time to finish: “sold in full” means it reported selling 99.9% or more of the amount offered, “under half” less than half. The cheque is the amount sold divided by the number of investors. 506(c) raises were advertised to the public; an agent is a broker paid to find investors.
SEC Form D data sets, 2014 to 2026, operating companies only. Our calculations.
